These terms apply to you as the owner of a school on iSpeak. By creating a school you accept them, and your school records the version you accepted. They are additional to the iSpeak Terms of Service, which also apply to you.
Your school and your members
You are responsible for your school's content, its members, its teachers and the classes it offers, and for honouring the memberships you sell. You must keep your school's details, prices and schedule accurate, and you must not describe your school in a way that misleads members.
iSpeak provides the platform; the teaching relationship is between you and your members. You decide your own prices, billing cycles, trial length, class rules and community rules, and you are responsible for the legality of what you sell and how you describe it.
You must tell your members about anything in your own rules that differs from the platform's defaults, before they pay.
Payouts by Bank Transfer (School Owners)
If your school is paid by bank transfer, iSpeak collects the member payments on its own payment account and owes your school the net amount after the platform fee of your plan. The amount owed is recorded in your school's payout ledger, which is append-only: a correction is always a new entry, never an edit or a deletion, so you can audit every movement.
Bank transfers are sent on the platform's payout schedule (monthly on the 5th, or every fortnight, as shown in your Payouts settings) once your balance reaches the minimum payout amount shown there. Balances below that amount carry over to the next payout date. Payouts are made in USD. iSpeak pays the sending fee; your bank may charge its own receiving fee, which is deducted by your bank and not by iSpeak.
A payout is complete once iSpeak marks it paid with a bank transfer reference. Time to reach your account depends on your bank and the correspondent route, typically 1 to 5 business days. If a payout was sent in error, iSpeak voids it and records a reversing entry in the ledger; the ledger is never edited to hide a correction.
Refunds of member payments are taken back off your balance as they are processed. By default the platform fee is returned to you when a payment is refunded; if iSpeak changes that policy it will be shown in your Payouts settings before it applies. Chargebacks are reversed off your balance while the dispute is decided, and credited back if the dispute is won.
You are responsible for the accuracy of the bank details you provide and for keeping them current. iSpeak is not liable for a payment sent to the details you supplied. Bank details are stored securely and shown to you masked; only authorised iSpeak staff can see them in full. If your school later moves to Stripe Connect payouts, any balance still owed is settled by one final bank transfer and the manual ledger is closed.
Fees and your platform plan
Your platform plan sets the monthly subscription and the transaction fee applied to each member payment. Changing plan takes effect prospectively. You can cancel at any time and the plan runs to the end of its period.
If your plan lapses, your school is not removed, but member payments may be paused until a plan is active again. We will tell you before that happens.
Your responsibilities as an owner
You are responsible for: the accuracy of the bank details you give us; keeping your account and your staff's access secure; making sure your teachers are qualified to teach what they teach; handling your members' questions, complaints and refund requests in the first instance; and complying with the tax, consumer-protection and data-protection rules that apply to your business in your country.
You must not: sell memberships you cannot deliver; charge members outside the platform for something sold through the platform; use another school's name, content or logo; or upload content you do not have the rights to use.
If a member pays you and you cannot deliver what was sold, you are responsible for refunding them. iSpeak may refund a member on your behalf where we are legally required to or where you cannot be reached, and take the amount back off your balance.
Suspension and termination of a school
We may suspend or remove a school, or pause its payouts, if: you break these terms or the Terms of Service; we are required to by law or by a payment provider; a payment is disputed or suspected to be fraudulent; or your school presents a risk to members.
We will tell you why a suspension was applied and what would lift it, unless the law prevents us from doing so. While a school is suspended, its members cannot join or renew, and its community is closed to new posts.
You may close your school at any time. Before it closes you must settle any memberships your members have already paid for, and any balance owed to you is paid out on the normal schedule.
Liability and governing law for owners
You are responsible for your school's dealings with its members. To the maximum extent permitted by law, you agree to indemnify iSpeak against claims brought by your members or teachers arising from your school, your content, your classes or your breach of these terms.
iSpeak's total liability to you in connection with your school will not exceed the platform fees you paid in the [12] months before the event giving rise to the claim. iSpeak is not liable for lost profit, lost goodwill, or any indirect or consequential loss.
These terms are governed by the laws of [Jurisdiction], and disputes are subject to the exclusive jurisdiction of the courts located there, unless the law that applies to you requires otherwise.
Changes to these terms
We may update these terms. We will post the updated version with a new version number and "Last updated" date. If a change materially affects you, we will ask you to accept the new version before your school keeps operating.
